Nonprofit Organizations

Our attorneys are experienced and well qualified to handle the many organizational and ongoing operational needs of nonprofit organizations.

From initial organization at the state corporate level to IRS recognition of tax-exempt status, and from ongoing regulatory and corporate compliance to everyday management and corporate matters, nonprofit organizations face a myriad of often-changing state and federal regulatory and operational challenges. For more than 30 years, our attorneys have worked to form and then represent and advise a variety of nonprofit organizations. Our services include:

  • drafting and filing of the initial organizational documents at the state level,
  • preparation of IRS compliant bylaws, and
  • preparation and filing of the IRS application for recognition of tax-exempt status.

We also provide ongoing advice and counsel to our nonprofit clients in order to meet their practical, and sometimes unique, needs and circumstances. From employment matters to transactional documents, from governance issues and, when unavoidable, litigation, our attorneys bring a depth of experience to the table that enables us to provide the answers and solutions you need.

And our involvement with nonprofits doesn’t end there. Many of our attorneys and staff are personally involved with a variety of nonprofits in different ways, from board service to volunteer support. By doing so, we gain practical, first-hand experience with the challenges faced by nonprofits. Lessons learned in the board room and on the street allow us to provide practical advice and counsel.
